Offer to enter into an agreement for the provision of paid information and consulting services

1. GENERAL PROVISIONS
1.1. This public offer for the provision of information and consulting services for a fee (hereinafter referred to as the "Offer" or "Agreement") constitutes a formal offer by Alexandra Andreyevna Orlova, an individual entrepreneur, hereinafter referred to as the "CONTRACTOR," to any individual, hereinafter referred to as the "CUSTOMER," to enter into an agreement for the provision of information and consulting services for a fee.

1.2. In accordance with Articles 453–455 of the Civil Code of the Republic of Armenia, this document constitutes a public offer. Upon acceptance of the terms and conditions set forth below and payment for the Contractor's services, the person accepting this Offer becomes the Customer. Acceptance of the Offer must be complete and unconditional.

1.3. This Agreement may be amended and/or supplemented by the Contractor unilaterally without any special notice. This Offer Agreement is an open and publicly accessible document. The current version of the Offer Agreement is located online at: http://dreadfish.am/ofertaen
1.4. The Contractor and the Client provide mutual guarantees of their legal capacity and capacity to act, as required for the conclusion and execution of this Agreement for the provision of services.

2. TERMS AND DEFINITIONS
2.1. For the purposes of this Offer, the following terms have the following meaning:
Offer Acceptance – full and unconditional agreement to the terms of this Offer by completing the payment form for services. The date of acceptance is the date of payment for services.
Customer – a legally competent individual who has accepted the terms of this Offer by accepting the offer.
Service Application – a set of actions by the Customer aimed at acquiring access to the Contractor's Information Materials, resulting in the selection of specific access conditions (tariff) and payment for access, which consists of the Customer submitting an Access Application to the Contractor by completing a form on the website dreadfish.am and making an advance payment for the offered services by transferring funds to the Contractor's bank account or to the account of another person specified by the Contractor.
Information Materials – the Contractor's intellectual property in the form of text, images, drawings, photographs, graphs, videos, programs, sounds, user interfaces, etc., posted on the Contractor's website.
The Contractor – sole proprietor Alexandra Orlova (35233796), who is the author and copyright holder of the information materials provided.
Public Offer – this document, "Public Offer for the Conclusion of an Agreement for the Provision of Information and Consulting Services for a Fee," posted on the website dreadfish.am/ofertaen
Contractor's Website – the official information resource (website) located on the Internet at dreadfish.am
Cost of Services – the cost of access to information materials, expressed in the currency of the Republic of Armenia (Armenian drams), the amount of which is posted on the Contractor's website.
A Tariff is a set of services and actions performed by the Contractor in relation to the Client, defined by a specific volume and cost, and posted on the Contractor's website in the "Tariffs" section.

3. SUBJECT OF THE OFFER
3.1. Under this Agreement, the Contractor undertakes to provide the Client with information and consulting services by providing access to information materials posted online on the Contractor's website, in accordance with the terms of this Offer.

3.2. The Contractor provides paid services in several ways – through tariffs. All tariffs and their costs are listed in the "Tariffs" section of the Contractor's website.

3.3. The period for providing access to information materials is 1 (one) calendar month.
Services are deemed to have been rendered with due quality, on time, and in full compliance with the Customer's needs upon expiration of the access to the Information Materials period, which is one (1) calendar month, unless the Contractor files a claim before its expiration in accordance with the procedure provided for in this Offer.

4. COST OF SERVICES AND PAYMENT PROCEDURE

4.1. Providing the Customer with access to the Information Materials is subject to a fee. The fee is determined in accordance with the Payment Rates published on the website dreadfish.am and depends on the terms of purchase specified in the Payment Rates section on the website dreadfish.am

4.2. Payment for services is made by transferring funds to the Contractor's bank account using an electronic payment method.

4.3. The payment date for the service is the date the funds are received in the Contractor's bank account.

4.4. The Parties acknowledge and agree that the Contractor shall bear no liability to the Client in the event of non-receipt of funds due to reasons beyond the Contractor's control, including, but not limited to, software failures or equipment malfunctions at banks, telecom operators, payment systems, and other payment intermediaries that process payments from the Client and transfer them to the Contractor.

4.5. The Contractor provides services to the Client subject to 100% prepayment.

In the event of failure to provide services due to the Client's fault (including unilateral termination of the contract), funds will be refunded taking into account actual costs (services provided, bank fees, etc.).

If failure to provide services arises due to circumstances for which neither party is responsible, the prepayment will not be refunded.

If failure to provide services occurs due to the Contractor's fault, funds will be refunded in full.

In case of refusal to provide the service in the manner and under the conditions stipulated by this Agreement, the advance payment will be returned to the same bank card of the Customer from which the payment was made.

5. RIGHTS AND RESPONSIBILITIES OF THE PARTIES

5.1. The Client undertakes to:

5.1.1. Pay for the Contractor's services in the manner and on the terms stipulated by this Agreement.

5.1.2. Accept the services rendered.

5.1.3. Independently review official information from the Contractor, published in the manner stipulated by this Agreement, and monitor the implementation of new documents or changes to existing ones.

5.1.5. Independently ensure the technical capability of using the Contractor's Services, namely, ensure adequate access to the Internet and the availability of software compatible with the transmission of information from the Contractor and other necessary means.

5.1.6. Perform other obligations established by this Offer and stipulated by the current legislation of the Russian Federation.

5.2. The Client has the right to:

5.2.1. Obtain non-exclusive rights to the Contractor's Information Materials.

5.2.2. Independently decide to use the services provided by the Contractor and receive such services from the Contractor in accordance with the terms and conditions of this Agreement.

5.2.3. Cancel the service at any time before the Contractor begins providing it. In the event of voluntary cancellation, the Client undertakes to pay the Contractor for the actual costs incurred in connection with the provision of the service.

5.2.4. Receive reliable information from the Contractor regarding the progress of the execution of this Agreement.

5.3. The Contractor undertakes to:

5.3.1. Provide services in the manner and under the terms and conditions stipulated by this Agreement.

5.3.3. Maintain the confidentiality of information, materials, and documents made available to it as part of the execution of this Agreement.

5.3.4. Properly publish official documents related to the provision of services on the website dreadfish.am

5.3.5. Perform other obligations established by this Offer and stipulated by the current legislation of the Russian Federation.

5.4. The Contractor has the right to:

5.4.1. Receive clarifications on issues arising during the provision of services, and additional information necessary to fulfill its obligations.

5.4.2. Unilaterally amend this Agreement by issuing new versions and posting them on the website dreadfish.am

5.4.3. Engage third parties to provide services under this Agreement. In this case, the Contractor shall be liable to the Client for the actions of such third parties.

6. LIABILITY OF THE PARTIES.

6.1. The Parties shall be liable for failure to fulfill or improper fulfillment of their obligations under this Agreement in accordance with the Agreement and the current legislation of the Russian Federation.

6.2. The Contractor shall bear no liability if the Client's expectations regarding the content of the information and consulting services provided by the Contractor are not met.

6.3. The Contractor shall not be liable for any failure to perform or improper performance of the terms of this Agreement due to the Customer's failure to provide the required documents and information, or for any consequences arising from the Customer's provision of inaccurate documents and information.

6.4. The Contractor shall not be liable for any failure to perform or improper performance of the terms of this Agreement if such failure is due to the Customer's fault.

6.6. The Parties shall be released from liability if the failure to fulfill their obligations under the Agreement is caused by force majeure circumstances beyond the control of the parties and arising after the Customer's acceptance of the offer.

6.7. The Customer is responsible for compliance with copyright and intellectual property laws.

7. TERMS OF CONFIDENTIALITY AND PERSONAL DATA PROTECTION

7.1. The Contractor collects, stores, and processes the Client's personal data in accordance with the terms and conditions of the Personal Data Processing Policy posted on the website http://dreadfish.am/pers

7.2. The Client undertakes to familiarize themselves with the terms of the Personal Data Processing Policy prior to accepting the Offer.

8. DISPUTE RESOLUTION PROCEDURE

8.1. All disputes and disagreements that may arise between the Parties regarding issues not resolved in the Agreement shall be resolved through negotiation.

8.2. The Parties are obligated to comply with the claims procedure for dispute resolution.

If the Client has any complaints against the Contractor regarding the quality of services rendered under this Agreement, the Client shall send a reasoned claim letter to the Contractor by email to: diveinsmm@gmail.com.

If the Contractor has any complaints against the Customer regarding the use of services under this Agreement, the Contractor will send the Customer a reasoned letter of complaint to the email address specified when completing the service application.

The claim review period is 30 (thirty) calendar days from the date of receipt of the complaint, unless another pre-trial procedure is used.

9. TERM OF THE AGREEMENT. TERMINATION OF THE AGREEMENT.

9.1. The Agreement is deemed concluded and becomes legally binding upon the Customer's performance of the actions (acceptance) stipulated in the Offer, signifying the Customer's unconditional agreement with the terms of the Agreement and accession to all the terms of the Offer without any changes, exceptions, or limitations. If the Customer does not fully accept the terms of the Offer, the use of any services provided by the Contractor is prohibited.

9.2. This Agreement is concluded by accession to the terms of this Agreement (Offer) in accordance with Articles 453–455 of the Civil Code of the Republic of Armenia and acceptance of the acceptance in accordance with Articles 453–455 of the Civil Code of the Republic of Armenia.

9.3. The Agreement shall terminate upon the full fulfillment of the Parties' obligations.

9.4. The Agreement may be terminated early:

9.4.1. By mutual agreement of the Parties in the manner prescribed by law.

9.4.2. The Contractor has the right to unilaterally and extrajudicially terminate the Agreement in the event of a breach of the terms of this Agreement by the Customer.

9.4.3. The Customer has the right to unilaterally terminate the Contractor's services at any time.

10. FINAL PROVISIONS

10.1. This Offer and the relationship between the Contractor and the Customer shall be governed by and interpreted in accordance with the laws of the Republic of Armenia. Issues not regulated by the Offer, as well as any disputes directly or indirectly related to this Offer, shall be resolved in accordance with the laws of the Republic of Armenia.

10.2. If, for any reason, any of the terms of this Offer are invalid or unenforceable, this shall not affect the validity or applicability of the remaining terms of the Offer.

10.3. The Parties acknowledge the legal force of notifications and messages sent to each other at the postal and email addresses specified by them. In the event of a dispute regarding the time of sending, receipt, or content of messages, the data obtained through the Contractor's technical means shall be considered reliable and final for the resolution of the dispute between the Parties.

10.4. In the event of a dispute regarding the part governed by this Offer, the Offer posted on the Website by the Contractor at the time the dispute is considered to be valid shall be deemed the only correct one, even if the dispute may have arisen prior to the posting of the current version on the Website.
